Section 15 — Mandatory Arbitration
All disputes between you and Wyd Holdings LLC shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitrator shall apply applicable federal law. The arbitrator's decision shall be final and binding. Neither party shall have the right to a jury trial or to participate in a class action.
Within ten (10) calendar days of an arbitration demand being served, both parties must jointly select an arbitrator with at least five years' relevant experience. If no agreement is reached within ten days, either party may petition the AAA to appoint one.
Each party shall bear its own share of arbitration fees, though the arbitrator may order one party to pay all or a portion of fees as part of a reasoned decision. The arbitrator may not award punitive damages. Both parties waive any right to punitive damages.
This arbitration provision survives cancellation or termination of your use of the Site or Services.
Section 16 — Waiver of Class Actions & Jury Trial
You and Wyd Holdings LLC agree to resolve all disputes solely on an individual basis. You waive any right to bring or participate in a class action, class arbitration, or representative proceeding of any kind. If for any reason a dispute proceeds in court, both parties waive the right to a jury trial and agree to proceed individually.
Section 17 — Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in California.
Section 18 — Force Majeure
Wyd Holdings LLC shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, pandemic, government action, natural disaster, war, labor disruption, carrier failure, supply chain interruption, or any other event making performance impossible or impractical.
Section 19 — Taxes
We will collect and remit applicable sales tax for orders shipped within California where required by law. For orders shipped to other states, you are solely responsible for any applicable sales tax, duties, or other taxes imposed by your jurisdiction.
Section 20 — Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remainder of these Terms shall remain in full force and effect.
Section 21 — Termination
These Terms remain in effect until terminated. We reserve the right to suspend or terminate your access to the Site and Services at any time, without notice, if we believe you have violated these Terms. You may terminate your use of the Site at any time by discontinuing access. Obligations incurred prior to termination survive.

They supersede all prior agreements, communications, and understandings. Our failure to enforce any provision of these Terms shall not constitute a waiver of that right.
